The Commercial & Contracts Solicitor is an integral part of the business, sitting on the Strategic Management Forum and responsible for drafting, negotiating and reviewing key client contracts; advising senior leaders on risks and commercial opportunities (including mergers or acquisitions); liaising with key stakeholders negotiating supplier terms and clauses; providing support and expertise to the Commercial Team onboarding onto new procurement frameworks, as well as improving internal processes and standard documentation.   

Other key duties include working closely with the SIRO and Data Protection Officer to maintain the corporate risk register, reinforcing data protection principles and good practice, delivering bite-sized legal training sessions and workshops where required to the wider team, 

Our products are at the heart of our business and this role also provides the opportunity to help shape our roadmap utilising your industry expertise to provide critical feedback, highlight red flags regarding intellectual property or licensing issues as well as assisting with new market discovery. 


Responsible for

  • Drafting, amending, negotiating key client contracts in line with procurement regulations and protecting Iken’s business interests

  • Drafting new contracts for additional products and/or procurement frameworks

  • Advising bid team of risks/workarounds during client negotiations/formal tenders as well as providing ‘no bid’ support where required

  • Providing contract advice and support throughout the business with regards to supply chain and other commercial contracts such as licensing agreements, leases

  • Advising the Board on risks/opportunities regarding commercial opportunities

  • Input into business strategy and business plan through active involvement in the Strategic Management Forum

  • Working with Product Team to ensure contractual and commercial risks are identified early in the development pipeline

Primary Objectives

  • Leading on client contract reviews and negotiations, advising the Bid & Contracts Manager and Commercial Team accordingly

  • Drafting commercial SaaS terms for our products both for stand-alone contracts as well as those which sit within procurement framework contracts, e.g. Crown Commercial Services’ G-Cloud framework

  • Updating Privacy Policy and Data Protection Notices as required

  • Advising the senior management team regarding commercial opportunities and business strategy

  • Reviewing supplier contracts and advising internal stakeholders/senior management team accordingly

  • Providing legal insight and advice to Product Team helping prevent legal obstacles or data protection showstoppers down the line

  • Providing contract training and advice throughout business

  • Working closely with the SIRO and Data Protection Officer to provide best practice advice and ensure risk register and key documentation in place

  • Leading the outsourcing of legal work and managing our legal supply chain including Employment and Immigration Advisors

Skills and Experience

  • Minimum of 6 years post solicitor qualification experience

  • 5 years+ commercial law experience

  • Extensive experience in software contract drafting and licensing

  • Extensive knowledge of data protection and GDPR legislation

  • Experience of public sector procurement frameworks and tender regulations

  • Experience with commercial contract negotiations and supply chain management

  • Commercial awareness and alignment with overall business strategy

  • Good negotiation skills and ability to build rapport with clients and prospects – willingness to compromise without increasing risk to the business

  • Good eye for detail and ability to meet conflicting deadlines 

  • Ability to translate legal clauses into plain English as a way to disseminate key risks to senior stakeholders

  • Good advisory/consultancy skills 

  • Keep up-to-date with new legislation and provide appropriate training to colleagues/update documentation accordingly
